1. Acceptance of Terms

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using our Services on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" refers to that entity.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on the Site. Your continued use of our Services following any changes indicates your acceptance of the modified Terms.

2. Use of the Services

2.1 Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you meet this requirement.

2.2 Account Registration

Some portions of our Services may require you to create an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Not share your account credentials with others
• Notify us immediately of any unauthorized use of your account

You are solely responsible for all activities that occur under your account.

2.3 Acceptable Use

When using our Services, you agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Use our Services for any illegal, harmful, or unauthorized purpose
• Interfere with or disrupt the operation of our Services or servers
• Attempt to gain unauthorized access to our Services or systems
• Transmit any viruses, malware, or other harmful code
• Collect or harvest data about other users without their consent
• Use our Services to send unsolicited communications

We reserve the right to terminate or suspend your access to our Services for any reason, including violation of these Terms.

3. Intellectual Property Rights

3.1 Ownership

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the design, selection, and arrangement thereof, are owned by Mastery Compass, our licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

3.2 Limited License

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services for their intended purposes, subject to your compliance with these Terms. This license does not include:

• Any resale or commercial use of our Services or content
• Any collection and use of product listings, descriptions, or prices
• Any derivative use of our Services or content
• Any downloading or copying of account information for another's benefit
• Any use of data mining, robots, or similar data gathering tools

All rights not expressly granted to you are reserved by Mastery Compass and our licensors.

3.3 Trademarks

The Mastery Compass name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Mastery Compass or our affiliates. You may not use such marks without our prior written permission.

3.4 User Content

You retain all ownership rights to any content you submit, post, or display on or through our Services ("User Content"). By submitting User Content, you grant Mastery Compass a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with providing and promoting our Services.

You represent and warrant that you own or have the necessary rights to the User Content you submit and that it does not violate the rights of any third party.

4. Service Registration and Payment

4.1 Registration for Services

Registration for masterclasses, coaching, or other services is subject to availability. We reserve the right to refuse service to anyone for any reason at any time.

4.2 Fees and Payment

The fees for our services are as stated at the time of registration or as otherwise communicated to you. All fees are in euros unless otherwise specified and are exclusive of applicable taxes.

Payment terms are as follows:

• For masterclasses: Full payment is required at the time of registration unless otherwise specified
• For coaching programs: Payment terms will be outlined in your coaching agreement
• For custom programs: Payment terms will be specified in a separate proposal or agreement

By providing a payment method, you authorize us to charge that method for all fees associated with your registration or purchase.

4.3 Cancellation and Refunds

Our cancellation and refund policy is as follows:

• Cancellations 30+ days before the scheduled masterclass or service: Full refund minus a €50 administrative fee
• Cancellations 15-29 days before: 50% refund
• Cancellations 0-14 days before: No refund
• Rescheduling is possible with at least 14 days notice, subject to availability

For coaching services, cancellation policies are outlined in your coaching agreement.

We reserve the right to cancel or reschedule masterclasses or services if necessary. In such cases, we will offer you the option of a full refund or transfer to another date.

5. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE THAT:

• OUR SERVICES WILL MEET YOUR REQUIREMENTS
• OUR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
• THE RESULTS FROM THE USE OF OUR SERVICES WILL BE ACCURATE OR RELIABLE
• THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED THROUGH OUR SERVICES WILL MEET YOUR EXPECTATIONS

ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH OUR SERVICES IS ACCESSED AT YOUR OWN DISCRETION AND RISK. YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM SUCH DOWNLOAD.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MASTERY COMPASS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE OUR SERVICES
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OUR SERVICES
• ANY CONTENT OBTAINED FROM OUR SERVICES
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF OUR SERVICES EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING OUR SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM.

THE FOREGOING LIMITATIONS WILL APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE AND TO THE FULLEST EXTENT PERMITTED BY LAW.

7. Indemnification

You agree to defend, indemnify, and hold harmless Mastery Compass, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your User Content
• Your use of our Services
• Your violation of any third-party rights

8. Third-Party Links and Content

Our Services may contain links to third-party websites, services, or content that are not owned or controlled by Mastery Compass. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that Mastery Compass shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

9. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms.

Upon termination, your right to use our Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Latvia, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by the courts of Latvia. You agree to submit to the personal and exclusive jurisdiction of the courts located in Riga, Latvia.

11. Miscellaneous

11.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and Mastery Compass concerning your use of our Services.

11.2 Waiver

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

11.3 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

11.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms without restriction.

11.5 Force Majeure

We will not be liable for any delay or failure to perform any obligation under these Terms where the delay or failure results from any cause beyond our reasonable control, including acts of God, labor disputes, or other industrial disturbances, electrical or power outages, utilities or telecommunications failures, earthquakes, storms, or other elements of nature, pandemics, blockages, embargoes, riots, acts or orders of government, acts of terrorism, or war.
